Who these terms are with

In these terms, “Markham Office”, “we”, “us” and “our” mean 1Business Box Inc., which operates under the trade names Markham Office and MarkhamOffice.com. “You” means the individual or business that buys or uses our services. By buying or using our services, you agree to these terms.

These terms work together with the specific service description, order or member agreement you receive at the point of purchase. Where a signed member agreement says something different, that agreement governs for the service it covers.

Our services

Markham Office provides business registration, virtual office, dedicated office, funding application assistance, and marketing services. Specific deliverables, pricing, and timelines are described at the point of purchase.

For funding services, we help prepare and submit applications. We are not a lender and do not provide investment, legal, accounting, or tax advice. Final funding decisions rest with the lender or government program.

Your account & authorized contacts

Each virtual office or mailbox plan may designate up to three (3) named individuals who are authorized to use the address and collect mail. Additional named contacts may be available for an added fee. You must tell us promptly when an authorized contact changes.

You are responsible for providing accurate information, for keeping your account and access credentials secure, and for everything done under your account or by your authorized contacts and guests.

Virtual office & mail handling

Your plan lets you use our address for business purposes as described at purchase. You may not use the address for anything illegal, or in a way that suggests you occupy physical office space that is not part of your plan.

We handle ordinary business mail in reasonable volumes. We may set fair-use limits on mail volume, parcel size and storage, and may charge for mail forwarding, oversized or heavy parcels, or items held for an extended period. We cannot accept mail or parcels addressed to individuals or businesses that are not registered on your account.

House rules for shared spaces

When using our meeting rooms, shared spaces or premises, you and your guests agree to: keep noise to a level that respects others; not exceed a room’s stated capacity; leave spaces clean and undamaged; follow building security, access, and health-and-safety rules; and not conduct illegal, hazardous, or unreasonably disruptive activities.

Your guests remain your responsibility while on the premises. We may ask anyone who breaks these rules to leave, and may charge for cleaning or for repairing damage beyond normal wear.

Fees, payments & deposits

Fees are due on the dates shown at purchase or on your invoice. Overdue amounts accrue a late charge of three percent (3%) per month on the outstanding balance. Any payment that is returned or declined by your bank (NSF) is subject to a handling fee of fifty Canadian dollars (CAD $50), in addition to any late charge.

Where a service requires a security or key deposit, we will return it — less any amounts you owe and the cost of repairing damage beyond normal wear — within thirty (30) days after your agreement ends and you have returned all keys, access cards, and company property.

Because many services involve work started on your behalf and non-refundable government fees, refund eligibility is described for each service at the point of purchase. Contact us if you have a concern about your order.

Government & third-party fees

Our incorporation and business name registration services are sold at an all-in price that already includes the applicable government fee, and nothing further is added at checkout.

Where a government or third-party fee is not included (for example optional program registration fees), it is listed separately and shown clearly before you pay. Government fees are set by the relevant authority and may change.

Term, suspension & termination

If you breach these terms, we may give you written notice and fourteen (14) days to cure the breach. If it is not cured within that period, we may suspend or terminate the affected services.

We may suspend or terminate services immediately, without a cure period, for non-payment that remains outstanding after notice, for illegal use of our address or premises, or for conduct that endangers our staff, other members, or the premises. On termination, you remain responsible for amounts already owed.

Non-solicitation

During your agreement and for three (3) months afterward, you agree not to solicit for employment or engagement any of our staff, and not to knowingly solicit other members or their staff whom you met through our premises, without our written consent.

Using our website

You agree to use our website and services only for lawful purposes, and not to interfere with their operation, attempt unauthorized access, or use automated tools to scrape or collect data without our permission.

Intellectual property

The content, branding, logos, and design of this website are owned by Markham Office or its licensors and are protected by law. You may not copy, reproduce, or reuse them without our written permission.

Limitation of liability

Our services are provided on an “as is” basis. To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to your services or this website — whether in contract, tort, or otherwise — will not exceed the greater of (a) the total fees you paid us for the service giving rise to the claim in the twelve (12) months before the claim, or (b) five thousand Canadian dollars (CAD $5,000).

We are not liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, data, or goodwill. Nothing in these terms limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under applicable law.

Governing law & changes

These terms are governed by the laws of the Province of Ontario, Canada. We may update these terms from time to time; the “Updated” date above reflects the latest version, and continued use of our services means you accept the current terms.
